Following the principle of equality, voluntary,honesty and credit,Party A and B both sides reach the agreement,party A entrusting Party B to provide information services of hydropower station,listed below:
1. In the validity of this Agreement, Party B agrees:
1.1 According to the commission and requirements of Party A, Party B will introduce the transferential project of XXX CO,LTD to Party A for reference and decision-making
1.2 Assist the Party A to conduct risk examine, identification and assessment of the project and to be responsible for liaison, communication and coordination
2. In the validity of this Agreement, Party A agrees:
Truthfully provides the relevant information data and the necessary assistance to party B when they are in the course of operation.
3. Privacy Policy
In the process of implementing this agreement, Except the legal requirements or other written consent, Party A and B both sides can not disclose any confidential information obtained to the third party. When this Agreement is terminated or unchained,this articles still remain valid for ___ years
4． Remuneration and expenses
party A and B both sides agreed that if party A successfully take over of XXX CO;LTD. Party A will pay ___% (not include revenue incoice) in accordance with the contract price to party B as a commission,party B will not charge additional fees with party A
5． Dispute resolution
Party A and B both sides for the dispute when implementing this agreement, should be resolved by friendly consultations, If no consensus, either party may litigate with the People's Court signed.
6. Other matters
6.1 this agreement will become effective since the date it is signed by party A and B both sides valid for___year,after the deadline for an agreement, if both party A and B without objection, then this Agreement shall remain in force.
6.2 If there is deficiency in this agreement, both sides should consult a supplementary agreement. It has the same legal effect as the Agreement.
6.3 This agreement is in duplicate. Part A and Part B each have one copy.
